Acceptance of Terms

By accessing or using klinixcapitalinsurance.com (the "Site") or any services offered through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services. These Terms constitute a legally binding agreement between you and Klinix Capital Insurance Inc.

If you use the Site on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" shall refer to both you individually and that entity.

About Klinix Capital Insurance Inc.

Klinix Capital Insurance Inc. ("KCI," "we," "us," or "our") is a licensed insurance agency organized under the laws of the State of Delaware. We hold an active General Lines Agency license issued by the Texas Department of Insurance (TDI License No. 3480549, NPN 22164426) with lines of authority for Life, Accident, Health & HMO and Property & Casualty. We operate as an independent insurance agency and do not underwrite insurance products — we assist clients in obtaining coverage from licensed insurance carriers.

Klinix Capital Insurance Inc. is not affiliated with or endorsed by any government agency, including the Centers for Medicare & Medicaid Services (CMS), the Health Insurance Marketplace, the Social Security Administration, Medicare, Medicaid, or any state insurance exchange or government program.

Section 03

No Binding Coverage Via Website

THIS WEBSITE DOES NOT CONSTITUTE A BINDING OFFER, BINDER, OR CONTRACT OF INSURANCE COVERAGE. Nothing on this Site shall be construed as an offer to sell insurance or as a commitment to provide any particular coverage. Insurance coverage is not effective until:

• A completed insurance application has been submitted and accepted by the applicable carrier;
• The carrier has issued a policy or binder in writing;
• Any required premium payment has been received; and
• Coverage has been confirmed in writing by the carrier or its authorized representative.

Product availability, premiums, and coverage terms vary by state and are subject to individual carrier underwriting guidelines. Not all products are available in all states. Coverage descriptions on this Site are summaries only and do not represent the full terms, conditions, exclusions, and limitations of any insurance policy. In the event of any conflict between the information on this Site and the actual policy documents, the policy documents shall control.

Section 04

Use of the Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use this Site for your personal or business use in connection with inquiring about or obtaining insurance products and services. This license does not include the right to:

• Reproduce, distribute, or publicly display Site content without our written permission;
• Use the Site for commercial purposes unrelated to obtaining insurance services;
• Scrape, data-mine, or systematically extract data from the Site; or
• Circumvent any security features of the Site.

All rights not expressly granted are reserved by Klinix Capital Insurance Inc.

Insurance Applications and Quotes

Any quote, rate indication, or coverage estimate provided through this Site or by our agents is an estimate only and is subject to change. A final quote requires completion of a full application and underwriting review by the applicable carrier. By submitting an inquiry or application through our Site or agents, you authorize us to obtain information from insurers, databases, and other sources as necessary to process your request, to the extent permitted by law and your authorization.

You represent that all information you provide in connection with an insurance inquiry or application is accurate, complete, and not misleading. Material misrepresentations on an application may result in policy rescission, denial of claims, or other legal consequences under applicable insurance law.

Accuracy of Information

While we make reasonable efforts to keep information on this Site accurate and current, we do not warrant that all information is complete, accurate, or up to date. Insurance products, carrier relationships, state licensing, and coverage terms are subject to change. You should verify all material information directly with an agent before making coverage decisions.

Intellectual Property

The Site and all content, including but not limited to text, graphics, logos, designs, and software, are the property of Klinix Capital Insurance Inc. or its licensors and are protected by copyright, trademark, and other applicable laws. The Klinix Capital Insurance name, logo, and related marks may not be used without our prior written consent.

Our Site may contain links to third-party websites or resources, including insurance carrier websites, regulatory agencies, and industry resources. These links are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or accuracy of any third-party site. Accessing third-party sites is at your own risk.

Prohibited Use

You may not use the Site: (i) for any unlawful, fraudulent, or unauthorized purpose; (ii) to submit false or misleading information on insurance applications; (iii) to impersonate any person or entity; (iv) to interfere with or disrupt the Site or its servers; (v) to attempt to gain unauthorized access to any systems or data; (vi) to transmit malware, viruses, or harmful code; or (vii) in any manner that violates applicable law.

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KLINIX CAPITAL INSURANCE INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE INFORMATION ON THIS SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR INSURANCE ADVICE.

No agency relationship, fiduciary duty, or professional relationship is created solely by your use of this Site. KCI acts as an independent agent and does not represent any particular insurer exclusively.

Section 11

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KLINIX CAPITAL INSURANCE INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOST PROFITS, OR LOSS OF COVERAGE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some states do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so the above limitations may not apply to you.

Any claim arising out of your use of the Site must be brought within one (1) year of the date the event giving rise to the claim occurred.

Indemnification

You agree to defend, indemnify, and hold harmless Klinix Capital Insurance Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (i) your use of the Site in violation of these Terms; (ii) your submission of false or misleading information on an insurance application; (iii) your violation of applicable law; or (iv) any claim by a third party arising from your conduct.

Section 13

Electronic Communications

By using our Site or contacting us electronically, you consent to receive electronic communications from us, including email, regarding your inquiries and any applicable services. By providing your mobile number, you consent to be contacted at that number for transactional communications. You may opt out of marketing texts by replying STOP. Standard message and data rates may apply.

TCPA Notice: By submitting our contact form, you expressly consent to be contacted by Klinix Capital Insurance Inc. and its agents at the telephone number(s) and email address(es) you provide, including via autodialed or prerecorded messages, for insurance-related communications. This consent is not a condition of purchase.

Section 14

Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

YOU AND KLINIX CAPITAL INSURANCE INC. AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, THAT IS NOT RESOLVED INFORMALLY, SHALL BE RESOLVED BY BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR UNDER THE AMERICAN ARBITRATION ASSOCIATION (AAA) CONSUMER ARBITRATION RULES, RATHER THAN IN COURT, EXCEPT AS PROVIDED BELOW.

14.1 Informal Resolution

Before initiating arbitration, the parties agree to meet and confer in good faith within thirty (30) days of written notice of a dispute to attempt informal resolution.

14.2 Class Action Waiver

YOU AND KCI AGREE THAT DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

14.3 Opt-Out

You may opt out of this Arbitration Agreement within thirty (30) days of first accepting these Terms by sending written notice to our legal address below.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property violations. Either party may pursue claims in small claims court where eligible.

Section 15

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law or the insurance laws of the state in which you reside. To the extent any claim is not subject to arbitration, you consent to the exclusive jurisdiction of state or federal courts located in Texas.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Section 16

Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by providing notice on the Site. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
